• "Service": The usage-based rebilling platform provided by Billeasy.
• "Seller": A user who sells products or services based on usage through our platform.
• "Client": A user who purchases and uses resources from Sellers through our platform.
• "Resource": Any product, service, or feature that a Seller offers for usage-based pricing through our platform.
• "We," "Our," or "Us": Refers to Billeasy, its owners, directors, officers, employees, and affiliates.

Account Registration

To access certain features of our Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms.

Seller Obligations

As a Seller, you agree to:

• Provide accurate information about your resources and pricing
• Honor the pricing and terms you establish for your Clients
• Maintain sufficient funds to cover any refunds or chargebacks
• Properly integrate with our API for usage tracking
• Comply with all applicable laws and regulations regarding your sold resources
• Not engage in deceptive practices regarding resource usage tracking

Client Obligations

As a Client, you agree to:

• Maintain valid payment methods for automatic payments
• Maintain sufficient account balance as required by the Seller
• Review and verify usage data and report discrepancies promptly
• Not attempt to manipulate or circumvent our usage tracking systems

Payments and Billing

• All payments are processed through Stripe, our payment processor.
• Clients authorize automatic charges when their account balance falls below their specified minimum balance.
• If a payment fails, we will notify both the Client and the Seller.
• Sellers receive payments directly through their connected Stripe accounts.
• We are not responsible for any issues between Sellers and their connected Stripe accounts.
• All fees are non-refundable unless otherwise specified or required by law.

API Usage

• Sellers may create API keys to track usage for specific Clients.
• API keys must be kept secure and not shared with unauthorized parties.
• We reserve the right to revoke API keys that are misused or compromised.
• We are not responsible for any damages resulting from unauthorized use of your API keys.

Data and Analytics

• We collect and process usage data to provide our Service.
• Sellers can access analytics related to Client usage and payments.
• Clients can access analytics related to their own usage and payments.
• We may use aggregated, anonymized data for improving our Service.

Intellectual Property

Our Service and its original content, features, and functionality are owned by Billeasy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BILLEASY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

Indemnification

You agree to defend, indemnify, and hold harmless Billeasy and its licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of [YOUR JURISDICTION], without regard to its conflict of law provisions.

Changes to These Terms
